| Inhalt | Summary: An examination of issues in corporate finance and governance that are heavily influenced by legal regulation. Topics include the value of corporate governance, executive compensation, boards of directors, block ownership, small shareholder activism, family business groups, and insider trading. Classes will explore the balance of influence between legal regulation and free market forces with respect to these topics and will include numerous international comparisons along these lines. |
| Literatur | Reading list: Readings for the course will be a collection of academic articles and a few legal case reports, supplemented by pieces from newspapers, magazines, and other areas of the news media. These will be distributed in a photocopied reading packet. I believe the readings are most helpful if done in advance of class. |

| Teilnahmevoraussetzungen | Recommended Prerequisites: This is a Master course. Therefore, a solid understanding of Business and Economics on the BA level is required. Completion of an introductory course to Law (BA) would help. In addition, the following courses on the Master level are recommended: Advanced Empirical Finance, 41626 Performance Measurement (Leistungsmessung und Managementanreize, 26168) Wage and Motivation (Lohn und Motivation, 32902) |
