| Inhalt | An examination of issues in corporate finance and governance that are heavily influenced by legal regulation. Topics include the value of corporate governance, executive compensation, boards of directors, block ownership, small shareholder activism, family business groups, and insider trading. Classes will explore the balance of influence between legal regulation and free market forces with respect to these topics and will include numerous international comparisons along these lines. |
| Literatur | Readings for the course will be a collection of academic articles and a few legal case reports, supplemented by pieces from newspapers, magazines, and other areas of the news media. These will be distributed in a photocopied reading packet. I believe the readings are most helpful if done in advance of class. |
